AMBOISE INVESTISSEMENT

Paris, 21 December 2006 – Thefunds managed by Apax Partners France, including Altamir and Amboise Investissement,have acquired a 49.9% holding in Equalliance. The other shareholders are Equalliance'sfounder and directors, as well as SPEF LBO and Naxicap Partners , subsidiariesof Natexis Private Equity which remain 10% shareholders.

Equalliance is one of the leaders in investment real estate in France. Formedin 1998 by Patrice Cavalier, the group originally specialised in real estatedevelopment, under the name of Océanis. Today, Equalliance is an integratedgroup covering three business segments:

• Real estate development , with Océanis ,which provides a wide range of investment products (De Robien/Borloo, Girardin,LMP, LMNP, etc.),
• Property administration , with La SIT ,which is active in co-ownership management, rental management, real estaterental, sales and purchases,
• Parahotel operation , with Groupe Suites Résidences (formerlySGCR), focusing on the development of residences aimed at business clients(under the My Suitelnn and My Suite brands).

The Equalliance group is headquartered in Montpellier and employs 300 peopleacross France. In 2006, it is expected to generate operating income in excessof €15 million with revenues of over €250 million.
