AMBOISE INVESTISSEMENT

On 30 November 2006, Camélia Participations, a company controlled by funds managed by Apax Partners France including Altamir and Amboise Investissement, acquired from Mr. Alain Bernard his entire stake in Prosodie representing 43.94% of the equity capital and 44.15% of the voting rights of the company, at a price of €20 per share. Prosodie is listed on Euronext Paris (Eurolist C - code ISIN FR0004152031).

In accordance with market regulations, Camélia Participations will soon file with the Autorité des Marchés Financiers (AMF) a tender offer for all the Prosodie shares it does not own. This offer will be at a price of €23.40 per share, subject to the opinion of the independent expert appointed on 9 November 2006 and to the review of admissibility by the AMF.
